ARTICLES OF INCORPORATION

OF

COALITION OF GREEN ARTISTS, INC.

A Non-Profit Corporation


Pursuant to the provisions of The Nebraska Nonprofit Act, the undersigned incorporators hereby adopt the following Articles of Incorporation:


ARTICLE 1 Name of Corporation

The name of this corporation is Coalition of Green Artists, Inc.

ARTICLE 2 Registered Agent and Office

The name and address of the registered agent of this corporation are:

ARTICLE 3 Statement of Purpose

This corporation is a public benefit corporation.

The purposes for which he corporation is organized are:

(i) This corporation is organized exclusively for one or more of the purposes as specified in section 501 (c)(3) of the Internal Revenue Code, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under section 501 (c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code.
(ii) The promotion of ecology in the arts in schools and community recreation center arts, shop and craft programs.
(iii) Identification, collection and distribution of industrial and commercial scrap materials for use in schools and community recreation center arts, shop and craft programs and by local artists.
(iv) To provide education and chartable assistance to the general public by stimulating interest the use of recycled products in the arts through lectures, seminars, study groups, public and classroom performances, exhibits and any and all other appropriate means, including, but not limited to the distribution of printed information, engagement in educational programs and funding scholarships, awards and grants to students, educators and artists.
(v) The transaction of any other lawful activity in connection with the facilitation and advancement of ecological awareness in education and in the arts and the use of recycled products.

ARTICLE 7 Membership Provisions

The classes, rights, privileges, qualifications and obligations of members of the corporation are as follows: No Members


ARTICLE 8 Additional Provisions

(i) Dedication of Assets: Upon the dissolution of this corporation, its assets remaining after payment, or provision for payment, of all debts and liabilities of this corporation shall be distributed for one or more exempt purposes within the meaning of section 501 (c)(3) of the Internal Revenue Code or shall be distributed to the federal government, or to a state or local government, for a public purpose.
(ii) Limitation on Political Activities: No substantial part of the activities of this corporation shall consist of carrying on propaganda, or otherwise attempting to influence legislation [except as otherwise provided by section 501(h) of the Internal Revenue Code], and this corporation shall not participate in, or intervene in (including the publishing or distribution of statements), any political campaign on behalf of, or in opposition to, any candidate for public office.
(iii) Limitations on Private Inurement (Private Benefits): No part of the net earnings of this corporation shall inure to the benefit of, or be distributable to, its members, directors, officers, or other private persons, except that this corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set for in these Articles.
(iv) General Limitations on Nonprofit Activities: Not withstanding any other provision of these Articles, this corporation shall not carry on any other activities not permitted to be carried on (1) by a corporation exempt from federal income tax under section 501(c)(3) of the Internal Revenue Code or (2) by a corporation contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code.


The undersigned incorporator and directors of the corporation hereby declare under penalty of perjury that the statements made in the foregoing Articles of Incorporation are true.
